Peter G. Nemeth
Experience
Mr. Nemeth is a Shareholder in the Firm’s Business Section; he has extensive experience representing individuals, public and private companies, financial institutions, and governmental agencies in a wide variety of transactional matters, primarily involving lending, energy and real estate. With over 20 years of legal experience, Mr. Nemeth has developed a broad based transactional practice, with an emphasis on complex commercial transactions and finance, on both a state and national level.
Representative Experience
- Representation of companies in the petrochemical industry in general commercial transactions, including negotiation of product purchase and sale agreements, supply contracts, energy purchase agreements, pipeline purchase and sale agreements, and land matters
- Commercial and residential lending, including loan originations, workouts and restructurings, collection, foreclosure and litigation management for both lenders and borrowers
- Representation of investors (including foreign nationals), lenders and developers in all aspects of the acquisition, financing, development, management, leasing and sale of businesses, business assets and real estate
- Representation of governmental entities in general commercial transactions, including leasing and eminent domain proceedings
- Representation of owners and tenants of commercial properties (office buildings, warehouses and industrial facilities) in the negotiation and documentation of space leases
- Representation of receivers of financial institutions in the liquidation of assets
- Secondary marketing of mortgage loan portfolios on a national level

Significant Recent Engagements
- Represented multi-national petrochemical company in the negotiation and documentation of a $3 billion agreement for pipeline construction, storage and long-term supply of natual gas liquids.
- Represented a governmental entity in the negotiation and documentation of a series of long term ground leases for the development of a $850 million liquefied natural gas receiving, storage and regasification facility on the Texas gulf coast
- Represented a privately held oil and gas company in a $150 million merger with a public utility
- Lead counsel in the negotiation and documentation product purchase and supply agreements for sales ranging from $25 million to more than $100 million
- National counsel to privately held $100 million fund providing specialized commercial loans to the funeral home industry
- Texas counsel to a large (annual sales in excess of $12 billion), international petrochemical company; responsible for product purchase and sale agreements, feedstock and energy purchase agreements, real property acquisitions, leases, and pipeline matters
- Negotiated and documented supply contracts for over $144 million per year in natural gas
- Represented a developer in connection with the financing and redevelopment of a portfolio of multi-family housing projects
